In your opinion, are Service Corporation elections held correctly? How would you change the process?

Board of director elections should ALWAYS be handled by a third party. That way there is no way they can be corrupt. To many times there are special interest groups living in the community, involved in tallying the votes. Why would any Board NOT want to have an uninterested third party count the votes? Its a "no brainer" to me. That way they can say everything is above board and there is no further questions on the exact number of votes. Completely remove yourself and employee's from the voting process and there will be no questions.
Why is it that the simple things cause the greatest debate?
